Governance and Conflict of Interest Policy

HOP is a 501 c3 non-profit and is federally recognized by the IRS. HOP has an 8 member independent, unpaid, fully voluntary board that meets biannually to review and ensure that activities are consistent with the mission of the organization, and that the utmost of care is taken to provide safe, effective, and responsible assistance to the communities we visit. WWT is a for-profit limited liability company that plays an integral role in the ability of HOP to provide relief. Indeed, absent the volunteer efforts provided through the WWT expeditions, HOP will be unable to distribute the needed supplies. While WWT and HOP are distinct corporate entities, Mr. Cardinale provides a role in the management of both – e.g., as a member of WWT and president of HOP. Accordingly, in order to prevent even the appearance that a transactional or other conflict between HOP and WWT might occur, HOP has adopted bylaws requiring board authorization for matters such as salaries and significant transactions between HOP and any other entity, including WWT. No salaries are paid to HOP’s organizational structure or Board of Directors.
